Order Acceptance &
Manufacturing Agreement

By clicking "Accept Quote & Place Order," signing this document, or issuing a Purchase Order referencing this Quote, the Customer ("Customer") enters into a legally binding contract with JCGA, LLC d/b/a AoD ("Company"). Acceptance of this Quote constitutes immediate authorization for the Company to procure raw materials, allocate machine time, and commence manufacturing and engineering (CAM/NRE) work.

Because all parts are custom-manufactured to Customer specifications, orders cannot be canceled without penalty once accepted.

• Liability for Costs: If the Customer requests an order cancellation or modification after acceptance, the Customer is strictly liable for 100% of the costs incurred by the Company up to the exact time of cancellation.
• Covered Costs: This includes, but is not limited to: raw material costs, restocking fees, non-recurring engineering (NRE) time, tooling purchased specifically for the order, and labor for any machining already completed.
• Completed Orders: Orders that have already been machined cannot be canceled and will be billed at the full quoted price.

Unless alternate terms (e.g., Net 30) have been explicitly granted in writing following a credit review, payment is due upon receipt of the invoice.

• Late Fees: Invoices outstanding beyond their due date are subject to a late payment charge of 1.5% per month (18% annually) or the maximum rate permitted by law, whichever is less.
• Collection Costs: The Customer agrees to pay all reasonable costs of collection, including attorney's fees, should the account be placed in collections or litigation.

• Accuracy of Data: The Company will manufacture components strictly according to the 3D CAD files and 2D engineering prints provided by the Customer at the time of quoting. The Customer is solely responsible for the accuracy of these files, including dimensions, tolerances, and material callouts.
• Tolerances: Where specific tolerances are not indicated on the Customer's 2D print, the Company will apply standard ISO 2768-m tolerances.
• End-Use Application: The Company makes no warranties regarding the fitness of the manufactured parts for any particular purpose. The Customer assumes full liability for the testing, validation, and safe end-use of the components.

Estimated lead times begin on the first full business day after the quote is accepted and any required upfront payment or formal Purchase Order is received. The Company is not liable for delays caused by acts of God, global supply chain disruptions, material shortages, or shipping carrier delays. Risk of loss passes to the Customer upon transfer of the goods to the shipping carrier (FOB Origin).

This agreement shall be governed by and construed in accordance with the laws of the State of Michigan. Any legal action arising from this agreement shall be filed exclusively in the state or federal courts located in Macomb County, Michigan.
